Welcome to Ninja.ai. By accessing or using our services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully and keep a copy for your records.

1. Overview

Ninja.ai is a cloud-based platform that enables users to discover, install, and run Model Context Protocol ("MCP") servers and related tools ("Services"). The Services are operated by Chick Commerce Pty Ltd (ACN 622 756 813) ("Company", "we", "our", or "us"), a company incorporated in New South Wales, Australia. References to "you" or "your" mean the individual or legal entity that accesses or uses the Services.

2. Acceptance of Terms

By creating an account, clicking "I agree", installing an MCP server, or otherwise using the Services, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.

3. Eligibility

You must be at least 13 years of age to use the Services. If you are under 18, you represent that you have obtained consent from a parent or legal guardian. If you access the Services on behalf of an organisation, you warrant that you have the authority to bind that organisation to these Terms. All references to "you" include the organisation and its authorised users.

4. Account Registration and Security

  • You must provide accurate, current, and complete information when creating an account.
  • You are responsible for safeguarding your credentials and for any activity occurring under your account, whether authorised by you or not.
  • You must promptly notify us at support@ninja.ai of any unauthorised access or security breach. We are not liable for any loss or damage arising from your failure to comply with this Section.

5. Subscriptions, Fees, and Payment

  • Certain features of the Services may require payment of fees ("Paid Services"). All fees are quoted in Australian dollars (AUD) and are exclusive of applicable taxes unless stated otherwise.
  • You authorise us (or our third-party payment processor) to charge your chosen payment method for all applicable fees. Recurring subscriptions will automatically renew at the then-current rate unless cancelled through your account before the renewal date.
  • Except as required by the Australian Consumer Law, all fees are non-refundable.
  • We may change our pricing at any time by providing at least 30 days' notice. Continued use of the Paid Services after the notice period constitutes acceptance of the new fees.

6. Licence and Acceptable Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for lawful purposes.

You must not (and must not allow any third party to):

  • copy, modify, distribute, sell, or lease any part of the Services;
  • reverse engineer, decompile, or attempt to extract source code, except to the extent permitted by law;
  • probe, scan, or test the vulnerability of any system or network;
  • interfere with, disrupt, or attempt to gain unauthorised access to any part of the Services or related systems;
  • upload or transmit any malware, malicious code, or content that infringes another's rights or violates any law.

7. User Content

  • "User Content" means any code, data, text, images, or other materials that you upload, submit, or transmit via the Services.
  • You retain all ownership rights in your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display that content solely to operate and improve the Services.
  • You represent that you own or have the necessary licences to submit the User Content and that such content does not violate any law or third-party rights.

8. Intellectual Property

The Services, including all software, graphics, trademarks, and other content, are and shall remain the exclusive property of Chick Commerce Pty Ltd or its licensors. Except for the limited licence expressly granted in Section 6, nothing in these Terms shall be construed as granting you any right, title, or interest in or to our intellectual property. All rights not expressly granted are reserved.

9. Third-Party Services and Open-Source Components

The Services may integrate or link to third-party products or open-source software ("Third-Party Services"). Your use of Third-Party Services is governed solely by the terms of those providers. We do not endorse and are not responsible for Third-Party Services and assume no liability for your use of them.

10. Beta Features

We may label certain features as "beta", "preview", or similar ("Beta Features"). Beta Features are made available on an "as-is" basis, may contain bugs, and may be modified or discontinued at any time without notice. We make no promises that Beta Features will become generally available.

11. AI-Generated Output

  • Some Services generate output using artificial intelligence models ("AI Output"). You are solely responsible for reviewing AI Output before using or relying on it.
  • To the extent permitted by law, we disclaim any warranties regarding the accuracy, completeness, or fitness for a particular purpose of AI Output. You acknowledge that AI Output may be inaccurate or misleading and that you should not use it as a substitute for professional advice.

12. Consumer Guarantees

Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies conferred by the Australian Consumer Law or any other applicable legislation that cannot be excluded, restricted, or modified by agreement.

13. Disclaimers

  • Except as set out in Section 12, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including fitness for a particular purpose, merchantability, or non-infringement.
  • We do not guarantee that the Services will be uninterrupted, secure, or error-free, or that data loss will not occur.
  • You assume all risk for any damage to your computer system or data resulting from your use of the Services, including AI Output.

14. Limitation of Liability

To the maximum extent permitted by law, neither Chick Commerce Pty Ltd nor its directors, employees, or suppliers shall be liable for any indirect, consequential, incidental, special, exemplary, or punitive damages, or for any loss of profits, revenues, or data, whether in contract, tort (including negligence), or otherwise, arising out of or relating to the Services. Our aggregate liability for all claims relating to the Services shall not exceed the greater of (i) AUD 100 or (ii) the amount paid by you to us for the Services in the 12 months preceding the claim.

15. Indemnity

You agree to indemnify, defend, and hold harmless Chick Commerce Pty Ltd and its directors, officers, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to (i) your use or misuse of the Services, (ii) your User Content, or (iii) your breach of these Terms.

16. Suspension and Termination

We may suspend or terminate your access to the Services (and delete related data) immediately and without notice if (a) you breach these Terms, (b) required by law or a regulator, or (c) continuation of the Services could create legal or security risk. Sections that by their nature should survive termination (including Sections 8, 13–15, 18, 19) will continue in effect.

17. Service Availability and Support

We aim for high availability but do not guarantee uptime. Scheduled maintenance and downtime may occur. Support is provided on a best-efforts basis via email at support@ninja.ai. We make no commitments regarding response or resolution times.

18. Force Majeure

We shall not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, power failures, or Internet outages.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict-of-laws principles. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales for any dispute arising out of or relating to these Terms or the Services.

20. Changes to These Terms

We may modify these Terms at any time. If a revision is material, we will provide at least 14 days' notice via email or through the Services. By continuing to use the Services after the effective date of the revised Terms, you agree to be bound by them. The "Last updated" date at the top of this document reflects the date of the latest changes.

21. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms without restriction as part of a merger, acquisition, or sale of assets.

22. Entire Agreement and Severability

These Terms, together with any policies referenced herein, constitute the entire agreement between you and Chick Commerce Pty Ltd regarding the Services and supersede all prior agreements, understandings, or representations. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
